1. Your role as a Builder
This Builder Agreement supplements the Terms of Service between you and Uptify. Accept it before creating a Builder profile or offering Products. You are an independent seller responsible for the Product, its license, delivery, support and lawful sale. You cannot make promises on our behalf. Uptify or its affiliates may list products under the same rules.
2. Listing commitments
Describe the Product accurately: deliverables, price and billing interval, pricing unit, license scope, included support period, requirements, installation steps, troubleshooting and delivery timing. State every system and category of data read or written, customer data touched, external destination and whether an integration is official. Disclose material limitations, recurring third-party costs and required accounts. Screenshots, demonstrations and performance claims must be authentic and supported.
Do not ship hidden network calls, malware, exposed credentials, unlawful scraping or code you cannot distribute. Supply the required media, source or artifact, version and review information. Paid unofficial integrations that the Platform prohibits may not be listed. Do not move delivery to an unreviewed live repository to bypass checks.
3. Rights and employer permission
You warrant on submission and every sale that you own or hold all rights needed to list, modify, distribute and license the Product; that your listing and Product do not infringe intellectual property, confidentiality, employment or vendor obligations; and that you have obtained all required employer and contributor permissions. Disclose third-party and open-source components and comply with their licenses, including notice and source obligations.
Work on personal time or equipment does not itself establish ownership. Declare relevant employment and obtain a written release or license from an authorized employer representative where needed. Keep supporting records and provide them privately upon a reasonable rights inquiry. The templates at /sell/protect are optional documents, not proof of permission. Do not use employer customer records, credentials or trade secrets without separate lawful authorization.
4. Review, updates and versions
Publication requires review. Material edits and new versions must pass the applicable review before release. We may request evidence, changes or additional checks, and reject a listing that fails policy. A review or approval does not transfer your responsibility or certify ownership, security or legal compliance.
Deliver the reviewed version and keep version history and migration instructions accurate. Updates offered for the purchased Product are available to entitled Buyers without a new Product charge; separately identified new Products may have separate prices. Do not silently expand data access, remove paid features or change a purchased license. Explain material changes, supply upgrade notes and obtain new Buyer authorization before additional data access. Promptly report and address a known material vulnerability, rights defect or service outage.
5. Platform fees and exclusivity
Our standard platform fee is 20% for exclusive Builders and 35% for non-exclusive Builders. Exclusivity means you offer the listed Product for sale only on this Platform while the exclusive designation applies. An expressly agreed fee override controls when recorded for your account. Do not claim exclusivity while selling the same Product elsewhere. Changes apply to new orders, not completed sales.
The fee is calculated on the order amount in cents, rounded to the nearest cent; the Builder receives the remainder, subject to authorized deductions. Any change to standard fees requires advance notice under the Terms. You authorize us and Stripe to collect payment as the limited payment collection agent described in the Terms. Receipt by that agent discharges the Buyer's debt for the amount received.
6. Payout timing and holds
Standard payouts are held 14 days from the paid order. The hold is 30 days if you declared an employer and the listing is not employer-approved. A service payment is also subject to acceptance and dispute handling under the Refund and Cancellation Policy. Payout eligibility occurs only after all applicable holds end; payment processing and bank settlement can take additional time.
Provide accurate Stripe onboarding, identity and payout details. We may delay payout for incomplete verification, sanctions or legal requirements, suspected fraud, a rights or policy investigation, refunds or chargeback exposure. We will identify the basis when lawful and release undisputed amounts when the reason ends. A platform hold is not a bank deposit, earns no interest and is not deposit insurance.
7. Refunds, chargebacks and balances
You fund refunds and payment reversals attributable to your orders, including amounts returned under the Refund and Cancellation Policy and documented processor dispute fees. You authorize deductions from pending proceeds and future balances. If the balance is insufficient, you must pay the documented shortfall within 30 days of notice. We will avoid duplicate recovery and credit amounts recovered from a reversed dispute.
Provide delivery, support and license records promptly when a dispute arises. Do not instruct Buyers to waive the refund policy or retaliate for a good-faith request. Our policy determination controls our administration of the payment, subject to available legal remedies. Repeated substantiated failures may cause listing review or suspension.
8. Delivery and support
Deliver the files, access or services and complete onboarding within the listing's promised timing. Provide included support through Platform messages for the stated period, explain prerequisites before purchase and respond to reported defects. Failure to provide included support for the refund policy's stated period can qualify for a refund. Do not require off-platform contact or a new payment to receive already included support. If performance becomes impossible, notify the Buyer and us promptly and cooperate with a remedy or refund.
9. Buyer controls and identity
You may choose anyone, exclusions for named dealers, groups or states, or approved Buyers only where the available controls support them. Restrictions must be lawful and accurate. Names and location information may be self-reported, so use individual approval when identification matters. You remain responsible for evaluating a requested exception. Changing a sales policy does not revoke an existing purchase.
You may publish under a handle. Supply truthful legal identity and tax information privately for verification and payouts. A public handle does not shield you from contractual liability or lawful disclosure. We may require further evidence or suspend payouts if verification fails. Do not impersonate another Builder, dealer or employer.
10. Buyer and customer information
Use dealer information solely to fulfill, support and administer the authorized purchase or pilot. The Platform limits onboarding information provided to Builders to dealer name, city, state and systems, with communications on the Platform. Contact details stay with the Platform. Do not request customer records in public content or ordinary marketplace messages.
For Products that process customer data, disclose purposes, data categories, destinations, subprocessors and retention, and obtain the Buyer's authorization and any required data agreement before access. Maintain appropriate safeguards and least-privilege access. Do not sell, repurpose, train unrelated models on, or retain that data beyond the declared authorized purpose. Notify the Buyer and us promptly after discovering unauthorized access and cooperate in containment, required notices, deletion and export. You remain responsible for your own applicable legal obligations.
11. Taxes and reporting
You are responsible for taxes on your income and for supplying accurate tax forms and taxpayer identification information. We or Stripe may collect and report information, issue Forms 1099 where required, or withhold amounts required by law. A reporting threshold is not a tax exemption. We collect and remit transaction taxes where legally required of the Platform; you remain responsible for obligations imposed on you. Do not add undisclosed charges after checkout.
12. Prohibited conduct and takedowns
Do not evade fees, share contact details, route marketplace sales off-platform, manipulate reviews or use access controls to mislead Buyers. Do not obstruct a rights complaint or submit false ownership evidence. Enforcement, appeals, indemnities, liability and disputes are governed by the Terms; copyright complaints follow the Copyright and Takedown Policy.
We may pause sales while investigating. Removal may disable access and license checks, including after the current seven-day removal grace period, where continued delivery presents a rights or safety problem. Do not treat a grace period as authorization to infringe. Cooperate in Buyer notification, preservation of evidence and applicable refunds.
13. Ending sales and existing Buyers
You may stop new sales or request account closure, but must complete accepted orders, honor lawful licenses, deliver already promised updates and support, and fund amounts owed. Give reasonable advance notice before discontinuing a hosted Product and provide an orderly data export or transition consistent with your listing and applicable law. Do not shut off paid service early merely because you leave the Platform. If you cannot fulfill, cooperate in a refund or other agreed remedy.
Existing paid licenses survive delisting and termination unless their terms lawfully terminate them or continued performance would be unlawful. Preserve records needed for payment, tax, support and disputes. Our content license continues only to fulfill existing commitments and legal needs as stated in the Terms. Accrued fees, refunds, warranties, indemnities and dispute obligations survive.
